Our Terms of Service define deliverables, fees, intellectual property, and confidentiality rules ensuring clear expectations, fair conduct, and smooth collaboration on every digital project.
Service Scope
We deliver custom development, system integration, cloud infrastructure, licensing, and managed support. Specific services, milestones, and deliverables are detailed in each Statement of Work.
Project Terms
All engagements require a signed Statement of Work and a 50% upfront deposit. Any change in scope or timeline must be approved in writing and may incur additional fees.
Intellectual Property
Upon full payment, clients gain all rights to final deliverables. Diofevre retains rights to unused concepts and may feature completed work in our portfolio, unless otherwise agreed.
Payment Structure
Project fees, payment schedules, and invoicing terms are set out in the Statement of Work. Final balance is due prior to delivery. Third-party costs, rush requests, or scope changes are billed separately.
Timeline & Communication
Delivery schedules and milestones are agreed in the Statement of Work. We respond to inquiries within 24 business hours. Delays caused by delayed client feedback may extend delivery dates.
Confidentiality
We safeguard all client data and project details. Confidential information is protected under our Privacy Policy and any mutually executed NDA.
Termination Rights
Either party may terminate the engagement with written notice. Clients pay for all work completed and approved up to the termination date. Termination fees may apply as specified in the Statement of Work.
Liability
Services are provided “as is” without guarantee of specific outcomes. Liability is limited to fees paid under these Terms and governed by Canadian law.
